GSO Terms of Use
Effective date: [date of publication]
These terms are an agreement between you and Tomo Digital Pte Ltd (UEN 202504073N), 6001 Beach Road, #22-01 Golden Mile Tower, Singapore 199589 ("Tomo", "we", "us"). They cover your use of GSO, the service at [product URL], including its two products, SEO Ranking and GEO Tracking, the reports it produces and the emails it sends.
By creating an account, joining an Organization or using GSO, you agree to these terms. If you agree on behalf of a company, you confirm that you have authority to bind it, and "you" means that company.
The GSO Privacy Policy at [privacy policy URL] explains how we handle your data, including your Google data. It is part of these terms.
1. Words used in these terms
- Organization: the account that holds projects, members and a subscription. Every project and every subscription belongs to exactly one Organization.
- Owner and member: the two roles in an Organization. Owners manage the subscription, the members and the Google connections. Members use the projects.
- Project: one website tracked in GSO.
- Report: a read-only page or PDF for one project that you can share with people outside your Organization.
- Share link: a URL that opens a report without a sign-in.
- Plan: the subscription tier your Organization is on, with its allowances of projects and, per project, keywords, AI prompts, markets and competitors.
2. What GSO does
GSO tracks where a website appears in search results for the keywords you choose (SEO Ranking) and whether AI assistants mention it when asked the prompts you choose (GEO Tracking). It collects this data on a schedule set by Tomo, shows it in your projects, joins it with Search Console and Google Analytics data when an owner connects a Google account, and produces reports you can share.
We add, change and remove features as the service develops. We will give owners reasonable notice by email before removing a feature the Organization is paying for.
3. Your account and your Organization
- Give accurate details when you register and keep them current.
- Each person has their own login. Do not share a login or let anyone else use yours. You are responsible for everything done under it, so keep the password safe and tell us at once if you think it has been compromised.
- The owners are responsible for the Organization: for who is invited, for what members do in it, for the Google accounts connected to it, and for its bill. Invite only people you trust with the Organization's data.
- Tomo staff may access your Organization's data to resolve a support request you have raised or to investigate a security problem, and for nothing else.
4. Connecting Google
You may connect a Google account only if you are entitled to the Search Console and Google Analytics properties you pick for your projects, either because they are yours or because their owner has authorised you to use them this way. Both permissions GSO asks for are read-only, and GSO uses the data only as the Privacy Policy describes. An owner can disconnect at any time from Organization settings.
5. Where the data comes from, and what it is
Ranking, search-volume, keyword-difficulty and AI-answer data comes from third-party providers and from Tomo's own crawler. It records what a search engine or an AI assistant returned at a particular time, from a particular place, for a particular query. Because of that:
- Positions and AI answers change constantly, vary by location, device and personalisation, and may not match what you see when you search yourself.
- A provider may delay, change or withdraw data, or change its coverage of an engine, a market or an AI assistant. When that happens we will tell you what changed and, where we can, replace the source. It is not a breach of these terms.
- Historic data is a record of past observations. We do not warrant that it is complete or that any figure is accurate.
- Nothing in GSO is advice about how a site will rank, and no ranking outcome is promised.
Search Console and Google Analytics data is provided by Google under Google's own terms and shown as Google reports it.
6. Acceptable use
Use GSO only to track websites you own, manage or are engaged to advise on, together with the competitors you compare them to. In addition, do not:
- access GSO by any automated means other than the features we provide, or scrape, copy, frame or mirror it;
- resell, sublicense or share access to GSO itself. Sharing reports and share links with your clients is what they are for, and is allowed;
- try to get around plan allowances, security controls or the boundary between Organizations, or read data that is not your Organization's;
- connect a Google account you have no right to connect, or send scheduled reports to people who have not agreed to receive them;
- interfere with GSO's operation, or use it for anything unlawful or to infringe anyone's rights.
We may suspend access that breaches this section while we investigate.
7. Plans, allowances and billing
Every Organization has a paid plan. There is no free plan and no trial. Creating an Organization means choosing a plan and paying for it, unless you are joining an Organization that someone else has created.
The subscription belongs to the Organization, not to the person who paid. It continues if that person leaves, and any owner can manage it.
Allowances. Each plan allows a number of projects and, per project, a number of keywords, AI prompts, markets and competitors. GSO refuses an addition past an allowance with a message that names the plan that raises it. Nothing is added and nothing is charged. Archived projects do not count against the project allowance, and GSO refuses to restore one if that would exceed it.
Paying. We bill plans monthly or yearly, in advance, through Stripe. The subscription renews automatically at the end of each period until it is cancelled. Prices are in Singapore dollars and include GST where Tomo is required to charge it.
Changing plan. Moving to a bigger plan takes effect at once. The prorated amount for the rest of the current period is shown before you confirm and charged then. Moving to a smaller plan takes effect at the end of the current period. GSO refuses it while the Organization uses more than the smaller plan allows. Nothing is deleted to make it fit.
Cancelling. An owner can cancel at any time. Billing stops, the Organization keeps full use until the end of the period already paid for, and the cancellation can be undone until then. We do not refund the unused part of a period unless the law requires it.
If a payment fails. We tell the owners and retry the card for a period. GSO keeps working during the retries. If the payment still fails, the Organization becomes read-only. Its projects, history and reports stay readable, nothing can be added, and data collection pauses until it is paid for again.
Price changes. We may change prices with at least 30 days' notice to the owners by email. A change applies from the Organization's next renewal after the notice period. If you do not accept it, cancel before then.
8. Ending the agreement
By you. Cancel the subscription as in section 7, or ask us to delete the Organization.
By us. We may suspend or end your access, after notice where practicable, if you breach these terms, if the Organization's plan is unpaid after the retry period, if the law or a provider's terms require it, or if your use puts the service or other customers at risk.
Your data afterwards. A read-only Organization keeps its data. If the subscription has lapsed for [12 months], we may delete the Organization and everything in it after giving its owners 30 days' notice by email. Ask us before then and we will give you a copy of your project data. Where we end your access for breach, we may delete the Organization's data 30 days after the notice.
9. Who owns what
- Yours: what you put into GSO, and the data collected for your projects. You may use it in your business and in the reports you give your clients. You give us the licence we need to store, process and display it to run the service.
- Ours: GSO itself, its software, design, name and documentation. You get a right to use it for your Organization while you have a plan, and nothing more.
- Aggregate data. We may use data that identifies neither you nor your Organization, such as keyword search volumes or how many projects track a market, to run and improve GSO. Google data is excluded from this beyond what the Privacy Policy allows.
- Feedback. If you suggest improvements, we may use them without owing you anything.
10. Reports and share links
Share links open without a sign-in. Anyone who has the link can read the report, so treat a link as you would the report itself. You can turn a link off at any time from the project. You are responsible for what you share and with whom, and for having the right to send reports to the addresses you enter.
11. Availability
We aim to keep GSO available and data collection on schedule, but we do not promise uninterrupted service. Collection depends on third-party providers, on Google and on search engines, and may be late or incomplete when any of them changes or fails. We may take GSO down for maintenance, with notice where practicable.
12. No other warranties
We provide GSO as it is. Apart from what these terms say expressly, we make no warranty about GSO or the data in it, including that either is accurate, complete, fit for a particular purpose or free of errors, and we give no warranty about how any website will rank or perform.
13. Limitation of liability
- Our total liability to you for everything arising out of these terms or GSO in any twelve-month period is limited to the fees your Organization paid us in that period.
- We are not liable for loss of profit, revenue, business, goodwill or data, for decisions taken on the basis of data in GSO, or for indirect or consequential loss of any kind.
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything that cannot be limited under Singapore law.
14. Your responsibility to us
You will cover any loss or claim we suffer because of your breach of these terms, a Google account or property you had no right to connect, or a report you shared or sent without the right to.
15. Changes to these terms
We may change these terms. The date at the top says when they last changed. For a material change we will email the owners at least 30 days before it takes effect. Continuing to use GSO after that date means you accept the change. If you do not, cancel before it.
16. Governing law and disputes
These terms are governed by the laws of Singapore. If a dispute arises, we will each try to resolve it by discussion first. Failing that within 30 days, the courts of Singapore have exclusive jurisdiction.
17. General
- These terms and the Privacy Policy are the whole agreement between us about GSO.
- If any part is found unenforceable, the rest still applies.
- You may not transfer this agreement without our written consent. We may transfer it to a successor to GSO or to Tomo Digital, and will tell you if we do.
- A delay in enforcing a term does not waive it.
- Nobody other than you and Tomo may enforce these terms under the Contracts (Rights of Third Parties) Act 2001.
- Notices to you go to the email addresses of your Organization's owners. Notices to us go to privacy@tomodigital.com.sg or to the address above.
